By accessing or using any of the Services offered by TaskingAI, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

These Terms apply to all users of the Services, including without limitation, individuals, companies, and other entities, regardless of your location or the nature of your use of the Services. If you are using the Services on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to bind the organization to these Terms.
While TaskingAI operates globally, the Services are not available in all countries or regions. The availability of our Services in your area is subject to change at TaskingAI's discretion. Additionally, specific features, services, or aspects of the Services may also vary by geographic location and are subject to applicable local laws and regulations.
TaskingAI reserves the right to update or modify these Terms at any time. Such changes will become effective immediately upon posting to our website, unless otherwise noted. We will endeavor to notify you of any significant changes to these Terms via email or through a notification on our Services. Your continued use of the Services after any changes indicates your acceptance of the new Terms. If you do not agree to the updated Terms, you should stop using the Services.
These Terms constitute the entire agreement between you and TaskingAI regarding the use of the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and TaskingAI with respect to the Services.
To use the Services of TaskingAI, you must be at least 13 years old or the minimum age required in your country to consent to use the Services. For users under the age of 18, it is required that a parent or legal guardian provide their consent and agree to these Terms on behalf of the minor user.
To fully access and utilize the Services provided by TaskingAI, you are required to create an account. When registering for an account, you must provide accurate, current, and complete information. It is your responsibility to keep this information up to date.
You agree not to share your account credentials with others and to maintain the security of your account. You are responsible for all activities that occur under your account. TaskingAI is not liable for any loss or damage arising from your failure to protect your username or password.
If you are registering an account or using the Services on behalf of a company, organization, or another entity, you represent and warrant that you have the authority to bind the entity to these Terms and that you agree to these Terms on the entity's behalf.
You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password, whether your password is with our Services or a third-party service. TaskingAI encourages you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.
Your account on TaskingAI is for your personal or organizational use only. Commercial use of the account is allowed only if such use complies with these Terms and any additional terms related to commercial use provided by TaskingAI.
You may terminate your account at any time through the account settings. TaskingAI reserves the right to suspend or terminate your account at any time for any violation of these Terms or for any other reason at TaskingAI's sole discretion. In the event of account termination, you will lose all access to any Services and data associated with your account.
TaskingAI reserves the right to terminate your account following a prolonged period of inactivity, which duration will be determined by TaskingAI.
Your privacy is important to us. The collection, use, and sharing of your personal information in connection with your use of the Services is described in our Privacy Policy.
By using the Services provided by TaskingAI, you agree to comply with these Terms and all applicable laws and regulations in your jurisdiction. Your access to and use of the Services is conditioned on your compliance with these Terms. Failure to comply with these Terms may result in termination of your account and access to the Services.

TaskingAI shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.
The Services may be subject to limitations, such as limits on storage space and the number of calls to our servers. TaskingAI reserves the right to enforce these limitations and may, at its discretion, alter these limitations at any time.
TaskingAI may provide support for the Services, but makes no guarantees regarding the availability or quality of support. Maintenance of the Services, including updates and upgrades, may occur from time to time and may result in temporary unavailability of the Services.
As part of the Services offered by TaskingAI, we may provide software applications that are intended to enhance your user experience. This software may include, but is not limited to, desktop applications, mobile applications, browser extensions, and other downloadable software components (collectively, the “Software”).
Subject to your compliance with these Terms, TaskingAI grants you a non-exclusive, non-transferable, and revocable license to use the Software solely for your personal or internal business purposes. This license does not grant you the right to use the Software for any resale or commercial purposes unless specifically authorized by TaskingAI in writing.
The Software provided by TaskingAI may be updated or modified from time to time. These updates are designed to improve, enhance, and further develop the Services and may include bug fixes, enhanced functionalities, new software modules, and completely new versions. You agree to receive such updates (and permit TaskingAI to deliver them to you) as part of your use of the Services.
In using the Software, you must not:

To the extent that the Software contains or is provided with any open-source components, TaskingAI will make the applicable open-source licenses available to you and the provisions of such licenses may expressly override some of these Terms.
You agree to comply with all local, state, national, and international laws and regulations applicable to your use of the Software, including any export control laws and regulations of the United States.
Your rights to use the Software will automatically terminate without notice from TaskingAI if you fail to comply with any of these Terms. Upon termination, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.
TaskingAI's Services may include integrations with services, software, or applications provided by third parties (“Third-Party Services”). These Third-Party Services might include, but are not limited to, data storage, analytics platforms, social media platforms, and other application programming interfaces (APIs) or services.
When you engage with a Third-Party Service, you are interacting with the third party, not with TaskingAI. Access to and use of any Third-Party Services is governed by the terms and conditions and privacy policies of the respective third parties and not by TaskingAI’s Terms of Use or Privacy Policy. You should ensure that you understand and agree to those third-party terms before using such services.
TaskingAI does not endorse, certify, or control Third-Party Services and does not guarantee the quality, safety, suitability, or reliability of any Third-Party Services. Your use of Third-Party Services is at your own risk and discretion.
When you use Third-Party Services in conjunction with TaskingAI’s Services, you may be allowing those third parties to access your data or content. It is your responsibility to decide whether or not you choose to share your data with a Third-Party Service. TaskingAI is not responsible for and has no control over how these third parties use your data.
TaskingAI does not assume any responsibility for the content, actions, or inactions of any Third-Party Services. Any issues or disputes you may have with a Third-Party Service, including those related to data privacy and security, must be resolved directly with the third-party provider.
TaskingAI reserves the right to modify, suspend, or discontinue the integration of any Third-Party Services with its Services at any time without notice. This may be due to service changes made by the third-party providers, legal or policy changes, or any other reasons at the discretion of TaskingAI.
You are advised to exercise caution and look into the privacy settings and notices of these Third-Party Services to understand what data may be disclosed and how it may be used. TaskingAI is not liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any Third-Party Services.
As a user of TaskingAI's Services, you may generate, upload, post, send, receive, or store various forms of content, including but not limited to text, photos, videos, audio, and other materials (collectively, “User Content”). You retain all rights in, and are solely responsible for, the User Content you create or share using our Services.
You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and to authorize TaskingAI and other users of the Services to use your User Content as necessary to exercise the licenses granted by you in these Terms. You are solely responsible for ensuring that your User Content does not infringe the rights of others or is not illegal, offensive, or in violation of any laws.
By submitting, posting, or displaying User Content on or through the Services, you grant TaskingAI a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods (now known or later developed) for the purposes of operating, promoting, and improving our Services. This license continues even if you stop using our Services.
TaskingAI does not undertake to review all material before it is posted on the Services and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, TaskingAI assumes no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party.
Your User Content must comply with the following standards:
TaskingAI reserves the right to edit, refuse to post, or remove any User Content at its sole discretion for any reason, including User Content that we believe violates these Terms or is otherwise objectionable.
If you wish to remove your User Content from the Services, you may do so by specifically deleting it. However, in some instances, some of your User Content (such as posts or comments made) may not be completely removed, and copies of your User Content may continue to exist on the Services. We are not responsible or liable for the removal or deletion of (or the failure to remove or delete) any of your User Content.
All rights, title, and interest in and to the TaskingAI Services, including all software, text, images, sounds, video, and content therein, are owned by TaskingAI or its licensors. Except for the limited rights expressly granted to you in these Terms, TaskingAI reserves all rights, title, and interest in the Services, including all related intellectual property rights.
The TaskingAI name, logo, and the product names associated with the Services are trademarks of TaskingAI, and no right or license is granted to use them.
You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, except as laws prohibit these restrictions or you have our written permission.
If you subscribe to a paid Service, you will provide TaskingAI with valid and updated credit card information or another form of payment that we accept. By subscribing to a paid Service, you authorize TaskingAI to charge your payment method on a recurring basis for the applicable Service fee.
Fees for the paid Services will be billed on a subscription basis and are non-refundable, except as expressly provided in these Terms.
You may cancel your subscription to TaskingAI Services at any time, and the cancellation will take effect at the end of the current billing cycle. There will be no refunds or credits for partial months or years.
TaskingAI reserves the right to adjust pricing for its Services or any components thereof in any manner and at any time. Any price changes will take effect following email notice to you.
If any fee is not paid in a timely manner, or TaskingAI is unable to process your transaction using the credit card information provided, TaskingAI reserves the right to revoke access to your TaskingAI account and Services.
TaskingAI reserves the right to terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
You may terminate your use of the Services at any time by ceasing all use of the Services and deleting your account, where applicable.
Upon termination, your right to use the Services will cease immediately. If you have a paid account, no subscription fees will be refunded upon termination.
TaskingAI may also suspend your access to the Services temporarily if you (a) have breached these Terms, (b) are involved in any fraudulent, misleading, or illegal activities, or (c) for service maintenance or emergency repairs.
In the event of account termination or suspension, TaskingAI may maintain your data according to its policies and applicable law and is not obligated to return or provide any copy of your data.
TaskingAI reserves the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.
Whenever feasible, TaskingAI will endeavor to provide advance notice of any discontinuation or significant modification of the Services.
TaskingAI shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.
In the event that TaskingAI permanently discontinues the Services, TaskingAI will provide pro-rata refunds of any pre-paid fees for Services not rendered as of the discontinuation date.
In the event of a discontinuation of a Service or significant change that affects your use of the Services, you will be notified via the email address associated with your account or through a notification within the Service itself.
The Services provided by TaskingAI are offered on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
TaskingAI does not warrant that the Services will be uninterrupted, timely, secure, or error-free; nor does it make any warranty as to the results that may be obtained from the use of the Services, or the accuracy or reliability of any information obtained through the Services.
TaskingAI makes no warranties or representations about the quality, content, or accuracy of third-party sites linked through the Services and assumes no responsibility for unintended, objectionable, inaccurate, misleading, or unlawful content that may reside on those sites.
The use of the Services is at your own risk. Any content downloaded or otherwise obtained through the use of the Services is done at your own discretion and risk.
In no event shall TaskingAI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.
TaskingAI's total liability to you for all claims relating to the Services shall in no event exceed the amount you paid to TaskingAI for the Services during the twelve (12) months preceding the claim.
The limitations of damages set forth above are fundamental elements of the basis of the bargain between TaskingAI and you. TaskingAI would not be able to provide the Services to you on an economically reasonable basis without these limitations.
You agree to indemnify, defend, and hold harmless TaskingAI, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) resulting from your violation of these Terms, your use of the Services, or your violation of any rights of another.
This indemnification includes, but is not limited to, any misuse of the Services, any unlawful use of the Services, any infringement of intellectual property rights, and any other actions connected to your use of the Services.
Before filing any claim against TaskingAI, you agree to attempt to resolve the dispute informally by contacting TaskingAI. We will try to resolve the dispute informally by contacting you via email.
If the dispute is not resolved within 60 days after the informal dispute resolution attempt, either you or TaskingAI may initiate a formal proceeding. You and TaskingAI agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, except as set forth under exceptions below.
The arbitration will be conducted by a neutral arbitrator in accordance with the rules that are in effect at the time the arbitration is initiated.
Either you or TaskingAI may assert claims, if they qualify, in small claims court. Either party may seek equitable relief in a court of competent jurisdiction for infringement or other misuse of intellectual property rights.
You may only resolve disputes with TaskingAI on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.
The arbitration will be governed by the laws of the jurisdiction in which TaskingAI is located, without regard to its conflict of law provisions.
Unless you and TaskingAI agree otherwise, the arbitration will be conducted in the county where TaskingAI is headquartered.
The payment of filing and arbitration fees will be governed by the rules of the arbitration forum.
You can decline this agreement to arbitrate by contacting TaskingAI within 30 days of first accepting these Terms and stating that you (include your first and last name) decline this arbitration agreement.
If you believe that your copyright has been infringed by content available on TaskingAI’s Services, you may send us a written notice that includes the following information:
Upon receipt of a valid infringement notice, TaskingAI will respond promptly to remove or disable access to the allegedly infringing content and will notify the content provider or user.
If you believe your content has been wrongfully removed, you may send TaskingAI a counter-notice containing your contact information, identification of the removed content and its location before removal, a statement under penalty of perjury that you have a good faith belief the content was removed in error, and your consent to the jurisdiction of your local court.
You may not assign or transfer these Terms, or your rights or obligations under these Terms, without TaskingAI’s prior written consent. TaskingAI may assign these Terms at any time without notice or consent.
TaskingAI reserves the right to modify or discontinue its Services and to revise these Terms at any time. Your continued use of the Services after any changes signifies your acceptance of the new Terms. If you do not agree to the new terms, you should stop using the Services.
You must comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations, trade sanctions, and embargoes maintained by the United States and other jurisdictions.
These Terms constitute the entire agreement between you and TaskingAI regarding the use of the Services, superseding any prior agreements between you and TaskingAI regarding the Services.
These Terms and your use of the Services will be governed by and construed in accordance with the laws of the jurisdiction in which TaskingAI is located, without regard to its conflict of law provisions.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
